Platform Terms & Conditions (EU)

These Terms and Conditions ("Terms") govern the relationship between you ("you" or "Connected Account") and Magna Porta PTE LTD ("we", "our", or "us"), a company registered in Singapore, for the use of our technology and services described below. We provide the services described below as part of a cooperation with our partner, Airwallex (Netherlands) B.V., an electronic money institution authorised by De Nederlandsche Bank in the Netherlands with licence number R179622 (hereinafter "Airwallex"). We ourselves do not provide any services that require a licence.
By signing up for or accessing the Platform Services, you agree to be bound by these Terms.
1. Overview
Our platform enables you to access both:
- Technology tools and value-added services we provide directly (the "Platform Services"), and
- Regulated payment services provided by our licensed partner, Airwallex, via its "Connected Account Services".
These services are made available to you through our web-based user interface ("User Interface"), which we develop and maintain in accordance with regional regulatory and technical standards.
2. Platform Services
The Platform Services may include, but are not limited to:
- Payment initiation and orchestration tools
- Transaction tracking and reconciliation
- Bank interface and account management
- Analytics and reporting dashboards
- Communication, invoicing, or document upload functionalities
We reserve the right to modify or update the Platform Services from time to time.
3. Relationship with Airwallex
All regulated financial services accessible through this platform - including the issuance of electronic money, provision of payment accounts, currency exchange, and payment processing - are provided solely by Airwallex and its licensed affiliates. Airwallex is a regulated Financial Money Institution and is responsible for compliance with all applicable financial regulations.
Our Role
We do not provide any regulated payment services. These are provided exclusively by Airwallex, an EMI-licensed entity, or its regional partners. We are not affiliated with Airwallex for the provision of regulated financial services, and you acknowledge that we cannot control, influence, or guarantee the operation of their services.
Magna Porta acts as a commercial representative and customer-facing partner of Airwallex. We assist in facilitating your access to Airwallex's services, including the communication, integration, and non-regulated support services. We do not provide any financial services, and do not operate as a payment service provider, Electronic Money Institution, or financial institution in any jurisdiction.
Agreement with Airwallex
By using this platform, you acknowledge and agree that all regulated services are subject to Airwallex's Terms and Conditions and Privacy Policy, which form a direct contractual relationship between you and Airwallex. You will be required to accept Airwallex's terms as part of the onboarding process.
To use the regulated services on this platform, you will need to and agree to be bound by the Airwallex Terms and Conditions, which form a separate legal agreement between you and Airwallex. These terms govern your use of all financial services, including onboarding, compliance, and ongoing operations. You may be required to provide business and personal information to Airwallex to satisfy regulatory obligations, including anti-money laundering (AML) and Know Your Customer (KYC) requirements.
No Handling of Funds
Magna Porta does not at any time hold, control, or have access to customer funds. All customer funds are handled, safeguarded, and managed by Airwallex in accordance with applicable financial regulations.
Liability
You acknowledge and agree that Magna Porta shall not be liable for any acts, omissions, errors, or delays arising from the provision of regulated services by Airwallex. Any disputes or inquiries related to regulated services must be directed to Airwallex as the responsible party under applicable financial services laws. You will separately enter into an agreement with Airwallex to open and maintain a regulated account ("Connected Account").
4. Acceptable Use and Prohibited Activities
As an overarching principle, you must only use the Platform Services and Connected Account Services for lawful, authorised, and approved business purposes. By using our services, you agree not to use them in any way that:
- Breaches or is intended to breach any applicable local, national, or international law, regulation or code, or causes us or any of our service companies or partners (including Airwallex) to breach any applicable law or regulation;
- Is unlawful, fraudulent, or has any unlawful or fraudulent purpose or effect;
- Is intended to harm or attempt to harm others (including minors) in any way;
- Is in connection with human trafficking, exploitation, or forced labour;
- Involves content or activity that is obscene, violent or violates, promotes sedition, or otherwise violates our content standards;
- Relates to unsolicited or unauthorised advertising, promotional material, or spam;
- Involves harmful software or code, such as viruses, spyware, or malware;
- Attempts to deceive, misrepresent identity, or bypass system controls;
- Intends to evade taxes, duties, or levies or facilitate illegal tax evasion;
- Uses the services in a way that leads to excessive complaints, chargebacks, disputes, or liability to us, Airwallex, or others;
- Uses the services for any purpose outside of your approved use case or business purpose, including personal use if you were approved for commercial use only;
- Involves foreign exchange speculation, arbitrage, or investment;
- Relates to regulated activities without holding the necessary licenses or authorisations.
Prohibited Business Categories
We do not provide our services to the customers that engage in or support transactions involving the following types of activities:
- Adult Content & Related Services, including pornography, escort/prostitution services, or the advertisement of sexual services, especially where illegal or exploitative;
- Gambling & Betting Services, including unlicensed gambling, games of chance, or where the platform where such activity is illegal;
- Illegal Drugs & Controlled Substances, including their sale, manufacturing, distribution, or facilitation;
- Counterfeit or Unauthorised Goods, including intellectual property infringement, grey market goods, and brand impersonation;
- Weapons Manufacturing or Trade, including firearms, components, military-grade items, ghost guns, or weapon blueprints;
- Payday & Predatory Lending, including short-term high-interest loans that exploit consumers or violate lending regulations;
- Hate Speech & Discriminatory Content, including the sale or promotion of discriminatory materials based on race, religion, gender, or other protected categories;
- Ponzi, Pyramid, Multi-Level Marketing Schemes, or deceptive telemarketing practices;
- Wildlife Trafficking, sale or trade of endangered species or derived products;
- Cultural and Archaeological Relics, unauthorised sale or distribution;
- Cyberlockers or File-Sharing Access, including platforms that monetize remote file-sharing without proper authorisation;
- Human Remains or Body Parts, except in cases explicitly permitted under local laws and subject to strict regulation;
- Non-Genuine Consumers/Collections, including spoofing of funds or misuse of credit or debit accounts;
- Unlicensed Financial Services, including the offering of regulated services without holding the appropriate licenses;
- Unlicensed Products/Services, including any product/service offered without the required governmental or regulatory authorisation;
- Any activity outside of our or our partner's risk appetite, as determined by our policies or those of our banking/payment partners.
We reserve the right to suspend or terminate your account immediately and report you to relevant authorities if we reasonably believe you are in breach of this clause.
5. Fees
You agree to pay fees for the Platform Services as disclosed at the time of sign-up, in your onboarding documents, or in any additional pricing documentation made available to you (Annex 1 - Pricing Annex).
These fees are separate and unrelated to any fees due to Airwallex under the Connected Account Agreement.
You authorize us to collect these fees through direct deduction from your Connected Account balance ("Platform Fee Deductions"), in accordance with these Terms and your express consent.
6. Authorisations & Data Access
By accepting these Terms, you grant us express authorisation to:
- a) Platform Operations
- Perform the Platform Services as described in Section 2.
- b) Access & Data Sharing
- Access your onboarding information, profile data, and activity logs related to the Platform and Connected Account.
- Share relevant data with Airwallex, Airwallex partners, and third-party service providers as required to deliver the Platform Services or assist with compliance.
- c) Account Functionality
- Access, view, and operate your Connected Account with Airwallex.
- Initiate or instruct funds transfers (including Platform Fee Deductions).
- Display your Connected Account's transaction data within our Platform Interface.
- Assist with onboarding and account maintenance (including periodic re-verification as required by Airwallex).
7. Your Responsibilities
You agree to:
- a) Comply with these Terms, our Acceptable Use Policy, and the terms of your Connected Account Agreement with Airwallex.
- b) Not misrepresent the nature of the Platform Services or suggest that they are regulated financial services.
- c) Promptly inform us of any changes in your business, contact information, or compliance status.
- d) Use the Platform Services only for lawful business purposes.
8. Termination
You may terminate this Agreement at any time by providing written notice to us at e-mail address.
Termination will:
- a) End your access to the Platform Services
- b) Trigger any outstanding obligations to us (e.g., unpaid fees)
- c) Not affect your Connected Account relationship with Airwallex, which must be terminated separately under their terms
We may suspend or terminate your access to the Platform Services if:
- a) You breach these Terms or applicable laws
- b) Required by a regulator or Airwallex
- c) We reasonably suspect fraud, misuse, or regulatory risk
9. Privacy and Data Use
We collect and process personal data in accordance with the Personal Data Protection Act (PDPA) and our Privacy Policy (Annex 2).
By using the Platform Services, you consent to:
- a) Our access to onboarding and transactional data related to your use of the Platform and Connected Account
- b) The secure sharing of such data with Airwallex, Airwallex partners, and relevant third-party service providers strictly for service enablement and compliance purposes
You are responsible for ensuring your own compliance with applicable data privacy laws.
10. Liability and Disclaimers
We provide the Platform Services on an "as-is" basis and disclaim all warranties, express or implied.
We are not responsible for any delays, failures, or errors caused by Airwallex or its third-party partners.
You remain responsible for your own tax, regulatory, and reporting obligations.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the EU.
Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the EU.

6. Authorisations & Data Access
By accepting these Terms, you grant us express authorisation to:
- a) Platform Operations
- Perform the Platform Services as described in Section 2.
- b) Access & Data Sharing
- Access your onboarding information, profile data, and activity logs related to the Platform and Connected Account.
- Share relevant data with Airwallex, Airwallex partners, and third-party service providers as required to deliver the Platform Services or assist with compliance.
- c) Account Functionality
- Access, view, and operate your Connected Account with Airwallex.
- Initiate or instruct funds transfers (including Platform Fee Deductions).
- Display your Connected Account's transaction data within our Platform Interface.
- Assist with onboarding and account maintenance (including periodic re-verification as required by Airwallex).
7. Your Responsibilities
You agree to:
- a) Comply with these Terms, our Acceptable Use Policy, and the terms of your Connected Account Agreement with Airwallex.
- b) Not misrepresent the nature of the Platform Services or suggest that they are regulated financial services.
- c) Promptly inform us of any changes in your business, contact information, or compliance status.
- d) Use the Platform Services only for lawful business purposes.
8. Termination
You may terminate this Agreement at any time by providing written notice to us at e-mail address.
Termination will:
- a) End your access to the Platform Services
- b) Trigger any outstanding obligations to us (e.g., unpaid fees)
- c) Not affect your Connected Account relationship with Airwallex, which must be terminated separately under their terms
We may suspend or terminate your access to the Platform Services if:
- a) You breach these Terms or applicable laws
- b) Required by a regulator or Airwallex
- c) We reasonably suspect fraud, misuse, or regulatory risk
9. Privacy and Data Use
We collect and process personal data in accordance with the Personal Data Protection Act (PDPA) and our Privacy Policy (Annex 2).
By using the Platform Services, you consent to:
- a) Our access to onboarding and transactional data related to your use of the Platform and Connected Account
- b) The secure sharing of such data with Airwallex, Airwallex partners, and relevant third-party service providers strictly for service enablement and compliance purposes
You are responsible for ensuring your own compliance with applicable data privacy laws.
10. Liability and Disclaimers
We provide the Platform Services on an "as-is" basis and disclaim all warranties, express or implied.
We are not responsible for any delays, failures, or errors caused by Airwallex or its third-party partners.
You remain responsible for your own tax, regulatory, and reporting obligations.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore.
Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

These Terms and Conditions ("Terms") govern the relationship between you ("you" or "Customer") and Magna Porta PTE LTD ("we", "our", or "us"), a company registered in Singapore, for the use of our technology and services described below. We provide the services available below as part of a cooperation with our partner, Airwallex (Hong Kong) Limited, which is regulated by the Customs & Excise Department and holds a Money Service Operators license (MSO License No. 18-09-01529) (hereinafter "Airwallex"). We ourselves do not provide any services that require a license.
By signing up for or accessing the Platform Services, you agree to be bound by these Terms.
1. Overview
Our platform enables you to access both:
- Technology tools and value-added services we provide directly (the "Platform Services"); and
- Regulated payment services provided by our licensed partner, Airwallex, and its regional affiliates (the "Connected Account Services").
These services are made available to you through our web-based user interface ("User Interface"), which we develop and maintain in accordance with regional regulatory and technical standards.
2. Platform Services
The Platform Services may include, but are not limited to:
- Payment initiation and orchestration tools
- Transaction tracking and reconciliation
- User interface and account access management
- Analytics and reporting dashboards
- Communication, invoicing, or document upload functionalities
We reserve the right to modify or update the Platform Services from time to time.
3. Relationship with Airwallex
All regulated financial services accessible through this platform - including the issuance of electronic money, provision of payment accounts, currency exchange, and payment processing - are provided solely by Airwallex and its licensed affiliates. Airwallex is a regulated Electronic Money Institution and is responsible for compliance with all applicable financial regulations.
Our Role
We do not provide any regulated payment services. These are provided exclusively by Airwallex, an MSO-licensed entity, or its regional partners. We are not affiliated with Airwallex for the provision of regulated financial services, and you acknowledge that we cannot control, influence, or guarantee the operation of their services.
Magna Porta acts as a commercial representative and customer-facing partner of Airwallex. We assist in facilitating your access to Airwallex's services, including initial communication, coordination, and non-regulated support activities. We do not provide any financial services, and we are not licensed as a payment service provider, Electronic Money Institution, or financial institution in any jurisdiction.
Agreement with Airwallex
By using this platform, you acknowledge and agree that all regulated services are subject to Airwallex's Terms and Conditions and Privacy Policy, which form a direct contractual relationship between you and Airwallex. You will be required to accept Airwallex's terms as part of the onboarding process.
To use the regulated services on our platform, you must agree to and be bound by the Airwallex Terms and Conditions, which form a separate legal agreement between you and Airwallex. These terms govern your use of all financial services, including onboarding, compliance, and ongoing operations. You may be required to provide business and personal information to Airwallex to satisfy regulatory obligations, including anti-money laundering (AML) and Know Your Customer (KYC) requirements.
No Handling of Funds
Magna Porta does not at any time hold, control, or have access to customer funds. All customer funds are handled, safeguarded, and managed by Airwallex in accordance with applicable financial regulations.
Liability
You acknowledge and agree that Magna Porta shall not be liable for any acts, omissions, errors, or delays arising from the provision of regulated services by Airwallex. Any disputes or inquiries related to regulated services must be directed to Airwallex as the responsible party under applicable financial services laws. You will separately enter into an agreement with Airwallex to open and maintain a regulated account ("Connected Account").
4. Acceptable Use and Prohibited Activities
As an overarching principle, you must only use the Platform Services and Connected Account Services for lawful, authorised, and approved business purposes. By using our services, you agree not to use them in any way that:
- Breaches or is intended to breach any applicable local, national, or international law, regulation or code, or causes us or any of our service companies or partners (including Airwallex) to breach any applicable law or regulation;
- Is unlawful, fraudulent, or has any unlawful or fraudulent purpose or effect;
- Is intended to harm or attempt to harm others (including minors) in any way;
- Is in connection with human trafficking, exploitation, or forced labour;
- Involves content or activity that is obscene, violent or violates, promotes sedition, or otherwise violates our content standards;
- Relates to unsolicited or unauthorised advertising, promotional material, or spam;
- Involves harmful software or code, such as viruses, spyware, or malware;
- Attempts to deceive, misrepresent identity, or bypass system controls;
- Intends to evade taxes, duties, or levies or facilitate illegal tax evasion;
- Uses the services in a way that leads to excessive complaints, chargebacks, disputes, or liability to us, Airwallex, or others;
- Uses the services for any purpose outside of your approved use case or business purpose, including personal use if you were approved for commercial use only;
- Involves foreign exchange speculation, arbitrage, or investment;
- Relates to regulated activities without holding the necessary licenses or authorisations.
Prohibited Business Categories
We do not provide our services to the customers that engage in or support transactions involving the following types of activities:
- Adult Content & Related Services, including pornography, escort/prostitution services, or the advertisement of sexual services, especially where illegal or exploitative;
- Gambling & Betting Services, including unlicensed gambling, games of chance, or where the platform where such activity is illegal;
- Illegal Drugs & Controlled Substances, including their sale, manufacturing, distribution, or facilitation;
- Counterfeit or Unauthorised Goods, including intellectual property infringement, grey market goods, and brand impersonation;
- Weapons Manufacturing or Trade, including firearms, components, military-grade items, ghost guns, or weapon blueprints;
- Payday & Predatory Lending, including short-term high-interest loans that exploit consumers or violate lending regulations;
- Hate Speech & Discriminatory Content, including the sale or promotion of discriminatory materials based on race, religion, gender, or other protected categories;
- Ponzi, Pyramid, Multi-Level Marketing Schemes, or deceptive telemarketing practices;
- Wildlife Trafficking, sale or trade of endangered species or derived products;
- Cultural and Archaeological Relics, unauthorised sale or distribution;
- Cyberlockers or File-Sharing Access, including platforms that monetize remote file-sharing without proper authorisation;
- Human Remains or Body Parts, except in cases explicitly permitted under local laws and subject to strict regulation;
- Non-Genuine Consumers/Collections, including spoofing of funds or misuse of credit or debit accounts;
- Unlicensed Financial Services, including the offering of regulated services without holding the appropriate licenses;
- Unlicensed Products/Services, including any product/service offered without the required governmental or regulatory authorisation;
- Any activity outside of our or our partner's risk appetite, as determined by our policies or those of our banking/payment partners.
We reserve the right to suspend or terminate your account immediately and report you to relevant authorities if we reasonably believe you are in breach of this clause.
5. Fees
You agree to pay fees for the Platform Services as disclosed at the time of sign-up, in your onboarding documents, or in any additional pricing documentation made available to you (Annex 1 - Pricing Annex).
